1. Choose the legal form, shareholders/members, management, capital and CAEN activities that fit the risk and how the business will operate.
Before reserving the name and drafting the incorporation documents.

2. Reserve the company name and prove the right to use the registered office and, where applicable, any secondary premises.

A registered office is not automatically authorised for every public-facing or production activity.

3. Draft the constitutive act/articles with the correct business object, capital, ownership interests, administrators and decision-making rules.
Before signing and submitting the file.
Between the founders/shareholders; with legal assistance if the structure is complex.

A standard template may be insufficient where there are several shareholders/members or special rights.

4. Submit the registration file and the required declarations on operation and beneficial ownership, to the extent applicable.
Before the company starts operating.
The competent trade-register office/ONRC portal.

Registration does not replace sector-specific authorisations.

5. After registration, confirm the tax registration profile, VAT status where relevant, bank account, accounting, invoicing and electronic access to ANAF.
From the start of activity and before the first invoices/employees.
ANAF, bank and an authorised accountant.
CUI, ONRC certificate, activities, estimates and electronic signature/access.
Tax regimes and thresholds change; check them as of the start date.

6. Obtain the operating approvals and any local, health, environmental, fire-safety or professional authorisations required for the activity and location.
Before carrying out the regulated activity.
Town hall and the competent sectoral authorities.
Registered office/work site, CAEN activities and technical/professional documentation.
A declaration filed with ONRC does not mean that every substantive operating authorisation has already been granted.
